    This one-hour webinar will offer a high-level overview of recent trends and best practices for foundation governance. Attorneys from the Nonprofit and Tax-Exempt Organizations group of Dentons, the world’s largest global law firm, will present practical tips for governance and legal compliance, focused on small to mid-size foundations. Drawing from both national trends in the industry and the impact of the pandemic and social change, topics will include:


    (1)    considerations for revising bylaws and conflict of interest policies;
    (2)    foundation political activity, including lobbying and advocacy;
    (3)    issues to consider when funding a project with a fiscal sponsor; and
    (4)    updating grant agreements.

    Our speakers will hold time for Q&A at the end of the presentation. As part of the registration process, attendees may also submit questions or topic area suggestions for our speakers to address if time allows.


    Jeffrey Fromknecht
    Counsel, Dentons Cohen & Grigsby 

    Jeffrey Fromknecht is Counsel in Dentons Cohen & Grigsby Pittsburgh office and a member of the Nonprofit and Tax-Exempt Organization Practice Group. He holds graduate degrees in both social work and law and has over 20 years of experience working at nonprofit organizations in a variety of direct-service and administrative roles. He earned his Master of Social Work degree from the University of Pittsburgh School of Social Work, where his concentration was on community organizing, nonprofit administration, and disability studies. Jeff has served Outside General Counsel to a variety of nonprofit and tax-exempt organization assisting clients understand and navigate the corporate, tax and compliance legal issues impacting tax-exempt organizations and their work.


    Hayley Haldeman
    Counsel, Dentons, Cohen & Grigsby

    Hayley serves as Counsel in the Firm’s Nonprofit and Tax-Exempt Organizations Group. She is an attorney and nonprofit leader with a decade of hands-on experience in nonprofit governance, law, and strategy.

    From 2019 through 2022, Hayley served as interim, then permanent, Executive Director of the Mattress Factory, a contemporary art museum in Pittsburgh, PA. During her tenure, she steered the organization through institutional transition and the COVID-19 pandemic, erased a significant projected deficit and grew the organization’s endowment, and established and strengthened partnerships with community stakeholders. Through this role, Hayley has strong first-hand experience managing the unique challenges that nonprofit boards and leaders face. 

    Prior to her role at the Mattress Factory, she was a litigator for seven years in the Pittsburgh office of a large international law firm. Her pro bono practice focused on nonprofit formation and governance, and she counseled various regional nonprofit organizations on a variety of issues.

    Supporting education issues, Organizations & needs in Florida

    The Florida Education Funders (FEF) support a culture of high expectations for all students, in and out of school, from early childhood through post-secondary education, leading to career success.

    The role of the FEF is to:  
    1. Provide a learning agenda on Florida-specific issues aligned with FEF goals
    2. Work on a shared advocacy agenda
    3. Network, potentially leading to deeper programmatic learning & funding collaborations.

    Achieving the social cohesion necessary to support a healthy & functioning multi-racial democracy is a challenging & ongoing effort that demands the attention of all sectors, including philanthropy & civil society. Extreme forms of polarization are not always easy to recognize or discern from other types of disagreement, & may often be unconscious or unintentional. This session will build off of a national, sector-wide campaign, & will help Florida funders explore how their philanthropy can build social cohesion & reduce toxic polarization, both through what they support & how they operate. Participants will engage in lively peer discussion & receive tools & inspiration they can apply to their own leadership.

    The Problem of Toxic Polarization

    •    What it is/isn't and why it's a problem.
    •    Why it should matter to philanthropy in Florida:
    •    Barrier to success in mission
    •    Because... funders can make it worse.
    •    Role of funders: Funders can help make it better:
    •    What NOT to do
    •    What TO do
    •    HOW this can help and how it relates to equity work


    Learning Objectives

    • Those attending will be able to describe the nuanced phenomenon of toxic
    polarization and how it relates to philanthropy.
    • Those attending will have tools to share with their foundations about tactical
    ways to build social cohesion and have greater impact in their communities.
